TERMS AND CONDITIONS FOR CORPORATE USERS

These Terms and Conditions ("Terms") govern your access to and use of the PEGΛSVS ("Platform"), including any associated mobile applications, websites, and services. By registering as a Corporate User ("User") on our Platform, you agree to be bound by these Terms.

1. DEFINITIONS

1.1 "Platform" refers to the PEGΛSVS Transport Logistics Platform, including all associated websites, mobile applications, and services.

1.2 "Company" or "we" refers to PEGΛSVS Logistics, the owner and operator of the Platform.

1.3 "Corporate User" or "User" refers to any business entity, organization, or authorized representative thereof that registers to request and book transport services, conference facilities, and venue services through the Platform.

1.4 "Service Provider" refers to any individual or entity that offers transportation, logistics, conference facilities, or venue services through the Platform.

1.5 "Services" refers to the transport and logistics services, conference facilities, and venue services provided by Service Providers to Users through the Platform.

1.6 "Conference Services" refers to meeting rooms, conference halls, event spaces, and associated amenities available for booking through the Platform.

1.7 "Venue Services" refers to event locations, corporate retreat facilities, training centers, and other venue-based services available through the Platform.

2. ACCOUNT REGISTRATION AND MANAGEMENT

2.1 Registration Requirements
To register as a Corporate User, you must:
• Be authorized to enter into contracts on behalf of your organization
• Provide accurate, current, and complete information about your organization
• Designate an account administrator responsible for account management
• Accept these Terms and our Privacy Policy

2.2 Account Security
• You are responsible for maintaining the confidentiality of your account credentials
• You must immediately notify us of any unauthorized use of your account
• You are responsible for all activities conducted through your account
• You may create sub-accounts for authorized employees with defined permission levels

2.3 Corporate Verification
• We may require documentation to verify your corporate identity
• You agree to provide requested verification documents in a timely manner
• We reserve the right to suspend accounts pending verification
• Misrepresentation of corporate identity constitutes grounds for immediate termination

3. SERVICE BOOKING AND UTILIZATION

3.1 Available Services
The Platform provides access to the following service categories:
Transport Services - Vehicle Classifications:
• Class A (Economy Cars): 3-4 passengers (Honda Fit, Toyota Probox, Toyota Vitz, Nissan Tiida)
• Class A+ (Mid-Size Family Cars): 5-7 passengers (Toyota Noah, Nissan Serena, Toyota Wish, Honda Stepwgn)
• Class B (Standard Vans): 8-11 passengers (Toyota Hiace, Nissan Urvan, Ford Transit)
• Class C (Mini Buses): 14-20 passengers (Toyota Coaster, Nissan Civilian, Isuzu NPR)
• Class D (Large Buses): 30-50 passengers (Isuzu FRR, Mercedes Sprinter, Scania buses)
• Class X (Premium/Executive): 3-4 passengers (Toyota Prado, Land Cruiser, Mercedes, BMW X5, Audi Q7)
• Class Y (Luxury MPVs): 6-8 passengers (Toyota Alphard, Nissan Elgrand, Mercedes V-Class, Hyundai H1)
• Pickup Trucks: 2-5 passengers + cargo (Toyota Hilux, Nissan Navara, Ford Ranger, Isuzu DMax)

Conference and Venue Services:
• Meeting Rooms: Small to medium conference rooms for 5-20 participants
• Conference Halls: Large event spaces for 50-500 participants
• Training Centers: Educational facilities with multimedia capabilities
• Corporate Retreat Venues: Off-site locations for team building and strategic planning
• Event Spaces: Venues for corporate events, product launches, and celebrations
• Boardrooms: Executive meeting spaces with premium amenities
• Virtual Meeting Facilities: Hybrid meeting spaces with advanced video conferencing capabilities

3.2 Service Requests
• You may submit requests for transport, conference, and venue services through the Platform
• All requests must include accurate details regarding service requirements, including participant count, duration, location preferences, and specific amenities needed
• Requests are not guaranteed until confirmed by a Service Provider
• Service availability is subject to Provider schedules and capacity

3.3 Booking Confirmation
• Bookings are confirmed only upon acceptance by the Service Provider and payment processing through the Platform wallet system
• Upon confirmation, a binding agreement is formed between you and the Service Provider
• The Company acts as a facilitator and payment processor, not a party to the service agreement
• Booking details will be available in your account dashboard

3.4 Service Modifications
• Modifications to confirmed bookings must be requested through the Platform
• Modification requests are subject to Service Provider approval
• Additional charges may apply based on the nature of modifications
• Modification policies vary by Service Provider and service type

3.5 Cancellation Policy
• Cancellation terms vary based on service type, Provider policies, and timing
• All cancellations must be submitted through the Platform
• Refund eligibility is determined by the applicable cancellation policy
• Emergency cancellations may be eligible for special consideration

4. PRICING AND PAYMENT TERMS

4.1 Competitive Market Pricing
• All services are priced competitively within current market rates
• Pricing is determined by market forces and approved through our quality assurance process
• Corporate users benefit from volume discounts and preferential rates
• Transparent pricing is displayed before booking confirmation

4.2 Platform Wallet System
• All payments must be processed through our centralized Platform wallet system
• Direct payments to Service Providers outside the Platform are prohibited
• The wallet system supports multiple funding sources including credit cards, mobile money, bank transfers, and approved corporate accounts
• Pre-funding options are available for frequent users

4.3 Quality Assurance Payment Policy
• Your payment is held securely in the Platform wallet and released to Service Providers only after successful service completion and verification
• This policy ensures quality service delivery and protects against service-related issues
• Service verification includes customer confirmation, quality assessment, and service completion verification
• In case of service disputes, payment release may be delayed pending resolution

4.4 Corporate Invoicing and Expense Management
• Consolidated Invoicing: All services (transport, conference, and venue bookings) are consolidated into comprehensive invoices suitable for business expense reporting
• Detailed Receipts: Electronic receipts are provided for each service with complete transaction details
• Expense Categories: Services are categorized according to standard business accounting practices (Travel & Transport, Meeting Expenses, Venue Costs)
• Tax Documentation: Full tax-compliant documentation provided for all transactions
• Integration Support: Platform supports integration with popular expense management systems
• Custom Reporting: Enterprise accounts may request customized invoice formats and reporting schedules

4.5 Payment Processing Timeline
• Payment authorization occurs at booking confirmation
• Funds are held in escrow until service completion
• Service Provider payment is released within 24-48 hours of service verification
• Refunds, where applicable, are processed within 5-7 business days

4.6 Disputed Charges
• Payment disputes must be submitted within 30 days of the charge
• All disputes must include relevant documentation and explanation
• Disputed amounts may be held in escrow pending resolution
• We reserve the right to make final determinations on disputed charges

5. QUALITY ASSURANCE AND SERVICE STANDARDS

5.1 Service Quality Commitment
• All Service Providers undergo rigorous vetting and quality assessment
• Regular performance monitoring ensures consistent service delivery
• Quality standards are maintained through continuous evaluation and feedback systems
• Service Level Agreements (SLAs) are established with all providers

5.2 Quality Control Measures
• Pre-service verification of provider credentials and capabilities
• Real-time service monitoring and customer feedback collection
• Post-service quality assessment and rating systems
• Immediate resolution protocols for service quality issues

5.3 Service Guarantee
• We guarantee that all services meet or exceed established quality standards
• Service recovery procedures are in place for any quality failures
• Compensation mechanisms available for service disruptions
• Continuous improvement processes based on user feedback

6. USER OBLIGATIONS AND CONDUCT

6.1 Compliance with Terms
• You agree to comply with these Terms and all Platform policies
• You will ensure all employees using your account comply with these Terms
• Violation of Terms may result in suspension or termination of your account
• You are responsible for unauthorized use by your employees or representatives

6.2 Prohibited Activities
• Attempting to circumvent the Platform wallet payment system
• Engaging in direct business with Service Providers outside the Platform
• Using the Platform for any illegal or unauthorized purpose
• Harassing, discriminating against, or abusing Service Providers
• Submitting false reviews or manipulating the rating system
• Sharing account credentials with unauthorized individuals
• Any activity that disrupts or impairs Platform functionality

6.3 Service Utilization
• You will treat Service Providers with respect and professionalism
• You will provide accurate requirements and specifications for all services
• You will communicate any special needs or concerns in advance
• You will adhere to all booking commitments and cancellation policies

7. PRIVACY AND DATA PROTECTION

7.1 Corporate Data
• We collect and process corporate data as outlined in our Privacy Policy
• We implement industry-standard security measures to protect your data
• We do not sell your corporate data to third parties
• You control what information is shared with Service Providers

7.2 Service Provider Information
• Service Provider information is protected and only shared as necessary
• You may not collect, store, or use Service Provider information outside the Platform
• Service Provider contact information may not be used for solicitation purposes
• Communication with Service Providers should occur through the Platform

7.3 Data Security Measures
• We utilize encryption for data transmission and storage
• We implement access controls and authentication protocols
• We conduct regular security audits and vulnerability assessments
• We maintain data breach response procedures

8. REVIEWS AND RATINGS

8.1 Review System
• You may provide ratings and reviews for all Service Providers (transport, conference, and venue services)
• All reviews must be factual, relevant, and based on actual service experiences
• We prohibit fraudulent, abusive, or retaliatory reviews
• We reserve the right to remove reviews that violate our policies

8.2 Service Provider Ratings
• Service Providers may rate and review your organization
• Provider feedback helps maintain platform quality and accountability
• Consistently negative feedback may affect your account standing
• You may respond to Provider feedback through the Platform

9. LIMITATION OF LIABILITY

9.1 Service Provider Performance
• We do not guarantee the quality or performance of Service Providers
• We are not liable for actions or omissions of Service Providers
• Service disputes should be addressed through our resolution process
• Our liability is limited to facilitating dispute resolution

9.2 Limitation of Damages
• Our liability is limited to direct damages not exceeding fees paid in the preceding 6 months
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for lost profits, data loss, or business interruption
• Force majeure events exclude liability

9.3 Indemnification
You agree to indemnify and hold us harmless from claims arising from:
• Your violation of these Terms
• Your use of the Platform
• Your interaction with Service Providers
• Content you submit to the Platform

10. DISPUTE RESOLUTION

10.1 Platform Disputes
• Disputes with Service Providers will be addressed through our resolution center
• You agree to cooperate in the resolution process
• We may mediate disputes but reserve final determination rights
• Dispute resolution decisions are binding on all parties

10.2 Legal Disputes
• You agree to attempt informal resolution before pursuing legal action
• All claims are subject to arbitration as detailed in Section 10.3
• Class actions and representative proceedings are waived

10.3 Arbitration
• All disputes will be resolved by binding arbitration
• Arbitration will be conducted according to Kenyan laws
• The arbitration will take place at Company offices
• Each party will bear its own costs, subject to arbitrator's final determination

11. TERM AND TERMINATION

11.1 Term
• These Terms remain in effect for the duration of your Platform use
• Corporate accounts may be subject to minimum term commitments
• Enterprise accounts may be governed by separate agreements

11.2 Termination by User
• You may terminate your account with written notice
• Termination does not affect obligations for pending or completed services
• You must complete any pending payment obligations through the Platform wallet

11.3 Termination by Company
We reserve the right to suspend or terminate accounts with or without cause. Grounds for immediate termination include:
• Violation of these Terms
• Fraudulent activity
• Payment delinquency
• Abuse of Service Providers
• Extended inactivity

12. MODIFICATIONS TO TERMS

12.1 Updates to Terms
• We reserve the right to modify these Terms at any time
• Material changes will be communicated via email or Platform notification
• Changes become effective 30 days after notification
• Your continued use after the effective date constitutes acceptance

12.2 Service and Pricing Modifications
• We reserve the right to modify services and pricing structures with 30 days' notice
• Changes will not affect bookings already confirmed at the time of notification

13. ENTERPRISE SOLUTIONS

13.1 Enterprise Accounts
• Organizations with high-volume needs may qualify for enterprise accounts
• Enterprise accounts may have customized terms and pricing
• Enterprise features include centralized billing, enhanced reporting, dedicated support, and priority booking
• Enterprise accounts require separate contractual agreements

13.2 Custom Integration
• API access may be available for enterprise account integration with existing corporate systems
• Custom integration requires separate agreements and compliance with API terms
• Technical support is available for integration implementation

14. TAX AND COMPLIANCE

14.1 Tax Documentation
• We provide consolidated invoices suitable for tax reporting purposes
• All services are categorized according to standard accounting practices
• Tax identification information is collected during registration
• We comply with applicable tax reporting requirements

14.2 Regulatory Compliance
• All Service Providers are required to maintain appropriate licenses and certifications
• The Platform complies with relevant transport and hospitality regulations
• Regular compliance audits ensure adherence to industry standards

15. GENERAL PROVISIONS

15.1 Governing Law
• These Terms are governed by the laws of Kenya
• Conflicts of law principles do not apply

15.2 Severability
• If any provision is found unenforceable, the remaining provisions remain in effect
• Unenforceable provisions will be modified to the minimum extent necessary for enforcement

15.3 Assignment
• You may not assign your rights or obligations without our prior written consent
• We may assign our rights and obligations without restriction

15.4 Entire Agreement
• These Terms constitute the entire agreement between you and the Company
• They supersede all prior agreements regarding the Platform
